Welcome to WheatStocks (“Site”, “Website” or “Platform”), an online Platform connecting farmers and producers (“Sellers”) directly with wholesale customers and businesses (“Buyers”). We provide services, features and software (“Services”) through the mobile and web based applications in order to ensure ease of access for buyers and sellers alike, and timely delivery of Wheat raw commodities, Wheat products, Wheat equipment and other Products (“Products”). These Terms & Conditions (“Terms” or “Agreement”) along with our Privacy Policy are a legally binding agreement between you as the user of the Site (“User”, “you” or “your”) and WheatStocks (“WheatStocks” “we”, “our” or “us”). By using our Website, apps or services you agree that you are lawfully competent and able to enter into the terms, conditions, obligations, representations and responsibilities set forth in this Agreement, and to abide and comply with these Terms.

We reserve the right to modify the terms and conditions of this Agreement at any time by posting any changes or a revised Agreement on this Site. We will notify you about the changes or revisions through email or by indicating on the top of this Agreement the date it was last revised. The changed or revised Agreement will be effective immediately after it is posted on this Site. Your use of the Site following the posting any such changes or of a revised Agreement will constitute your acceptance of any such changes or revisions. Please review the Terms periodically to make sure that you understand the terms and conditions governing the use of our Services.

PLEASE READ THE TERMS CAREFULLY. THESE TERMS GOVERN YOUR USE OF THIS SITE. BY ACCESSING AND USING THE SERVICES IN ANY MANNER, YOU AGREE TO BE BOUND BY ALL OF THE TERMS OF THIS AGREEMENT. THIS AGREEMENT IS PUBLISHED AND SHALL BE CONSTRUED IN ACCORDANCE WITH THE PROVISIONS OF INFORMATION TECHNOLOGY (INTERMEDIARIES GUIDELINES) RULES, 2011 UNDER INFORMATION TECHNOLOGY ACT, 2000 THAT REQUIRE PUBLISHING THE RULES AND REGULATIONS, PRIVACY POLICY AND USER AGREEMENT FOR ACCESS OR USAGE OF THE WEBSITE.

User Registration and Payments
You can access our Services by registering with us. User(s) agree to provide accurate and complete information at the time of sign-up and registration process, which must be updated and notified to us in case of any changes.

User(s) registering with us shall keep confidential and not disclose to any personal information related to User’s account and password, and shall be responsible for all activities that occur under their account and we shall not be liable or responsible whatsoever in this regard. User(s) shall immediately notify us of any unauthorized use of their account or any other breach of security known to the User. User(s) under the age of 18 years must take care to use our Services only under the supervision of a parent or guardian, and in that case, this Agreement shall be legally binding between us and the parent or guardian under the guidance of whom the Services are accessed.

Your use of the WhetStocks Services is subject to subscription plans as mentioned. The subscription fees shall be paid by the User through credit card or any other mode of payment acceptable to us. We may take the help of third party apps for completion of payment through their payment gateways, and you agree to be solely responsible for ensuring the security of your payment related details.

We reserve the right to automatically renew the subscription plan on end of the subscription period, and to introduce fees for the new services offered and amend/introduce fees for existing services. User is responsible to inform us on a timely basis about any changes related to cancellation or modification of the subscription plan.

You agree to comply by the refund policy and late payment charge policy of WheatStocks. We shall not be liable for any refunds or payments in case of cancellation of your orders or subscription plans, or any delay or fault in fulfillment of your order(s) due to incidents beyond our control or unintentional delays. You are requested to check the Products delivered to you and inform us immediately at the time the Products are delivered to you, about any defects or faults, in which case you will be entitled to refund after deduction of our Service charges as applicable. Any delay in the payment by the User shall grant us the right to charge interest on the outstanding amount from the date the payment became due until the date of final payment by the User.

User is responsible for timely payment of all applicable licenses, taxes and costs associated with the Services. We reserve the right to collect any outstanding fees or deduct taxes along with our fees in case of late payment or failure on your part to pay taxes, using credit card or bank account details provided by you.

We reserve the right, without any obligation on us, to monitor interactions between and among Users of the Site and with any third parties and to remove any content deemed objectionable or harmful. Any use of the content, Services or any of the functionality for a purpose not permitted by these Terms is ground for refusing service, immediate termination and revocation of any usernames, passwords or other permissions that may have been granted to the User(s).

Licenses and Service Access
By signing up, User grants WheatStocks and its affiliates, licensors and representatives a non-exclusive, worldwide, complete, sub-licensable and transferable license to use, copy, reproduce, transmit, edit, translate, and reformat, create derivative works from, and otherwise communicate, and publicly display, in any manner or form and in any medium or forum the content posted by User, and to use the content in connection with its business purposes. The User shall have no right, claim or authority to dispute the usage of content or other information by us for improving our Services and User’s experience.

WheatStocks grants you a non exclusive, limited, revocable, non-sublicensable, and non-transferable license to access and make personal use of this application. All materials, including images, text, illustrations, designs, icons, photographs, programs, downloads, video clips and written and other materials that are part of this Site (“Content“) are intended solely for personal, non-commercial use, and must not be copied, republished, posted, uploaded, distributed, transmitted or modified in any way without seeking prior written permission from us. Any unauthorized use will lead to termination of the permission or license granted to User by us.

User’s Obligations and Acceptable Use
By using the Website and Services and accessing the Content provided by us, you agree:

1. i) to access and use our Services only for legal, authorized, and acceptable purposes;
2. ii) not to use the Services in any way that may be infringing of intellectual property rights, or any other rights of Wheat Stocks.

iii) not to post or upload any data that may be illegal, obscene, defamatory, threatening, harmful, racially, or ethnically offensive, or otherwise inappropriate or objectionable, or disrupt the integrity or the performance of our Website and Services;

1. iv) not to use false e-mail address or other personal information, impersonating any person or entity, or attempt to gain unauthorized access to any accounts, materials, information, computer systems or networks connected or related to the Site;
2. v) not to engage in direct or indirect communication with other Users of our Site and Services for any orders, payments, product inquiries, shipping, delivery or other sale related matters, without prior written permission from us;
3. vi) not to use, misuse or misappropriate the Services provided by us to develop, or to assist anyone in developing a competitive platform, service or for other competitive purposes;

vii) not to use any automated system, robots, spiders, viruses or other malware that may infect the Site or Services;

viii) not to make copies, transmit, store or make derivative works of materials and information provided through the Site in any medium.

Disclaimers and Limitation of Liability
We make reasonable efforts to provide accurate information through our Website and Services. However, we make no representations, express or implied, as to the accuracy of the information and data contained on this Site, and are not responsible for, controlling how or when our Services are used. The Services are provided on an “as is” or/and on an “as available” basis. Without limiting the foregoing, we disclaim any and all warranties, express or implied, for any Products or other Content offered on or through this Site. You acknowledge, by your use of the Site, that your use of the Site, Website and Services is at your sole risk. This disclaimer does not apply to any product warranty offered by the seller of the Product.

We claim no responsibility for any variation in the quantity or quality of the Products when the Products are delivered to you. We provide a Platform only and cannot control all the actions or information provided by the Users of this Site. You agree to bear the risks associated with any dealings between you and other Users of this Site. If there is any dispute between the Users of this site, you agree that we have no obligation whatsoever to be involved in any such dispute(s).

We do not assume any liability for monitoring the Services for content that is offensive, indecent, or otherwise objectionable, as well as content containing harmful data, viruses, technical inaccuracies, omissions or typographical errors. We are not responsible for actions or information of our User (s) and third parties and are not obligated to control such actions.

Our Services may provide links or advertisements that permit User to access or interact with third party sites. Please note that User’s use of third party services will be governed by their own terms and privacy policies and we are not responsible for the contents or material of any third party site. We assume no responsibility regarding privacy practices of such third party services nor any data or information which User might share with such other sites. User’s access to third party content is at their sole risk and responsibility and we shall not be liable to User or any third party in relation to User accessing third party content.

Users agree that in no event shall Wheat Stocks, its directors, employees, agents, affiliates, or licensors be liable for any direct, indirect, incidental, special or consequential damages in connection with this Agreement or the Products in any manner, including liabilities resulting from (1) the use or the inability to use the Content or Services offered by us; (2) the cost of procuring substitute Products or any losses incurred due to any fault or defect in the Products delivered; (3) any Products purchased or obtained or transactions entered into through the Site; or (4) the acts or omissions of our representatives performing Services on our behalf.

This limitation of liability shall apply regardless of a failure of the essential purpose of any other remedy by us. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to you.

Intellectual Property Rights
The Content, Services and other information provided on our Platform is protected by intellectual property laws of Ireland, foreign nations, and international bodies. Unauthorized use of the material may violate copyright, trademark, and/or other laws.

Indemnification
By accepting these Terms and availing the Services, you agree to defend, indemnify, and hold harmless Wheat Stocks, its affiliates, subsidiaries, directors, licensors, officers, employees, agents and third party information providers against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or related to any Content that you post, access, store or transmit on or through our Platform, your violation or infringement of the intellectual property rights, privacy rights, or breach or alleged breach of the our Terms or of any representation or warranty contained herein.

Governing Law
This Agreement, as well as any disputes which might arise between us and User, shall be governed by and interpreted in accordance with the laws of Ireland without regard to its principles regarding conflicts of law of User’s state or country of residence. By using this Site or ordering Products, you consent to the jurisdiction and venue of the courts situated in Dublin in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement.

Waiver and Severability
Any failure by us to exercise or enforce any right or provision of this Agreement shall not be construed as, or constitute, a continuing waiver of such provision, or a waiver of any other breach of or failure to comply with any other provision of this Agreement, unless any such waiver has been consented to by us in writing.

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, such provision shall be severed and the remainder of the provisions of this Agreement remain in full force and effect.

Termination
This Agreement is effective unless and until terminated by either you or us. You may terminate this Agreement at any time, provided that you discontinue any further use of this Site. We reserve the right, in our sole discretion, to restrict, suspend or terminate any User’s use of and/or access to our Services, without notice or liability to the User. Following termination, you will not be permitted to use the Site and we may cancel any outstanding orders for Products with or without notifying you. All provisions of this Terms which by their nature should survive termination shall survive termination, including, but not limited to, licenses, governing law, indemnification and limitation of liability.

Assignment
You shall not be entitled to assign or otherwise transfer any of your rights or obligations granted hereunder, to any third party without our written consent and any such assignment or transfer or purported assignment or transfer shall be void ab initio. We reserve the right to transfer your account and account information, rights and/or obligations under the Terms to a third party, who purchases our business, and may inform you of such assignment or transfer in accordance with the notice requirements under the Agreement.

Force Majeure
We shall not be liable if performance of any service or obligation under these Terms is prevented, restricted, delayed or interfered with, by reason of labour disputes, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery, shortage or unavailability of raw materials from a natural source of supply, utility or communication failures, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or any other act whatsoever, which are beyond the reasonable control of Wheat Stocks or its third parties affiliates, and could not have been prevented by reasonable precautions.

Grievance Officer
In compliance with Information Technology Act, 2000 and the rules made thereunder, the Grievance Officer of Wheat Stocks for the purpose of this Agreement shall be Mr. Ayoub with email address: ayoub@acrossis.com. We may change the aforesaid details from time to time under intimation to you.
